Terms of Service

Please read these Terms of Service ("Terms") carefully before using SteadyPost. By creating an account, checking the acceptance box at signup, or using any part of our service, you agree to be bound by these Terms. If you do not agree, do not sign up or use SteadyPost.

1. Who We Are

SteadyPost ("SteadyPost," "we," "our," or "us") is a service of RW Sales LLC, a Texas limited liability company doing business as SteadyPost, with its principal place of business in Hurst, Texas. SteadyPost is a social media management service that automatically schedules and publishes content to connected social media accounts on behalf of small businesses.

2. Eligibility

To use SteadyPost, you must:

• Be at least 18 years of age
• Be a business owner, operator, or authorized agent of the business whose accounts you are connecting
• Have the authority to agree to these Terms on behalf of that business
• Provide accurate and complete information during signup

By signing up, you represent that you meet all of these requirements.

3. Description of Service

SteadyPost provides an automated platform that:

• Accepts photos and videos you upload through your customer portal
• Uses artificial intelligence to generate captions tailored to your business
• Schedules and publishes content to your connected social media accounts (Facebook, Instagram, Google Business Profile, Pinterest, TikTok, LinkedIn and other supported platforms) on your selected posting schedule
• Provides a dashboard showing your scheduled content and post history

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you believe your account has been compromised.

Each SteadyPost account is for a single business only. You may not share your account with other businesses or use SteadyPost to manage accounts on behalf of clients without a separate written agreement with us.

5. Content Policy — Prohibited Content

By uploading content to SteadyPost, you represent and warrant that your content does not and will not:

• Sexually explicit or adult content: depict nudity, sexual acts, or sexually suggestive material of any kind
• Violent or graphic content: depict graphic violence, gore, self-harm, or the abuse of people or animals
• Hate speech: attack, demean, or discriminate against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or veteran status
• Illegal content: promote, depict, or facilitate any illegal activity, including the sale of controlled substances, unlicensed weapons, or other regulated goods
• Intellectual property violations: infringe the copyright, trademark, or other intellectual property rights of any person or entity
• Defamation or harassment: be defamatory, harassing, threatening, or invasive of any person's privacy or publicity rights
• Spam or deception: constitute spam, phishing, misleading advertising, or false claims about your business, products, or competitors
• Platform policy violations: violate the community standards or terms of service of Facebook, Instagram, Google, Pinterest, or any other platform to which content is published

We reserve the right — but have no obligation — to review content in your account. We may remove content, suspend, or terminate accounts that violate this policy at our sole discretion, with or without notice.

6. Content Ownership and License

You retain all ownership rights to the photos and videos you upload. By uploading content to SteadyPost, you grant us a limited, non-exclusive, royalty-free license to store, process, and publish that content to your connected social media accounts solely to provide the service to you.

You represent that you own or have all necessary rights, licenses, and permissions to upload and publish every piece of content you provide to SteadyPost.

AI-generated captions are created based on the business context you provide. SteadyPost does not warrant that captions will be accurate, appropriate, or error-free. You remain responsible for all content — including captions — published through your account.

7. Connected Platform Terms

By connecting a social media account, you authorize us to access and publish content to that account on your behalf using OAuth tokens. Connections are established and maintained through our publishing partner, Zernio, which holds the platform credentials on our behalf and publishes your content at our instruction. Your use of each connected platform is also governed by that platform's own terms and community standards:

• Google Business Profile Terms
• Pinterest Terms of Service

You are solely responsible for compliance with those platforms' requirements. SteadyPost is not affiliated with or endorsed by any of these platforms.

8. Subscription, Billing, and Cancellation

• Free trial: New accounts receive a 14-day free trial. Your card is not charged during the trial period.
• Billing: After your trial ends, your card is charged automatically on a recurring basis — monthly or annually, per your selected plan — until you cancel.
• Cancellation: You may cancel at any time from your account settings or by emailing [email protected]. Cancellation stops future charges; you retain access through the end of your current billing period.
• Taxes: Listed prices exclude sales tax. Where required by law (including Texas sales and use tax on data processing services), applicable tax is calculated at checkout from your billing address and shown on your invoice.
• Price changes: We will notify you at least 30 days in advance of any price change via email.

9. Refunds

Our full Refund Policy is part of these Terms. In short: every plan begins with a 14-day free trial; monthly charges are not refundable once a billing month has started; annual plans carry a 30-day money-back guarantee on the first annual payment. If you believe you were charged in error or have an exceptional circumstance, contact us at [email protected] within 5 business days of the charge and we will review your request in good faith.

10. Termination

We may suspend or terminate your account immediately, without prior notice, if:

• You violate the Content Policy or any other provision of these Terms
• Your content causes or threatens legal, reputational, or financial harm to SteadyPost or others
• Your subscription payment fails and is not resolved within a reasonable grace period
• We are required to do so by law or by a social media platform operator

You may close your account at any time by contacting us. Upon termination, your personal data is retained for 30 days before permanent deletion, per our Privacy Policy.

11. Disclaimer of Warranties

SteadyPost is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error-free, that content will be published on a precise schedule, or that results will meet your expectations. Social media platforms may change their APIs, policies, or availability at any time, which may affect our ability to publish your content.

12. Limitation of Liability

To the maximum extent permitted by applicable law, SteadyPost and its operators, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, data loss, or reputational harm — arising from your use of the service or content published through your account. Our total cumulative liability for any claim shall not exceed the total amount you paid us in the three calendar months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless SteadyPost and its operators, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) content you upload or that is published through your account; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable law.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Effective" date at the top reflects the most recent revision. For material changes, we will notify active customers by email at least 14 days before the change takes effect. Continued use of SteadyPost after that date constitutes your acceptance of the updated Terms.
